1. Ownership:
You own your purchased Street Ape Yolo Club NFT. Street Ape Yolo Club NFTs are minted on the Ethereum Blockchain.
All NFTs ownership is verified cryptographically on the Ethereum Blockchain. When you purchase an NFT, you own the underlying Street Ape, the Art, completely. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network: at no point may we seize, freeze, or otherwise modify the ownership of any Street Ape.
2. Personal Use: Subject to compliance with these terms.
Street Ape Yolo Club grants you a royalty-free license to use, copy, display, and modify your owned Street Ape Yolo Club NFT Art. This usage is granted world-wide.
This is for the purposes of:
- Personal and Non-Commercial Use
- Display and use your NFT on the External Websites
- Ability to Buy, Sell, and Trade your NFT
- Deconstruct for usage of displaying Trait Asset Art
- Usage of the Street Ape Yolo Club Name and Logo
3. Commercial Use: Subject to compliance with these terms.
Street Ape Yolo Club grants unlimited use, copy, and display of your owned Street Ape Yolo Club NFT Art. This is for the purpose of creative derivative works based on the owned NFT.
This is for the purposes of:
- Produce and Sell Merchandise
- Usage in Print (Comics, Graphic Novels, Posters, Animated Series)
We don’t want to see any other NFT projects utilizing our individually crafted layers, so we are not open to you minting new NFTs that are derivatives of our project, change the original Street Ape Yolo Club, or minting another full project using our Street Ape Yolo Club in any way. Other than that, you can create whatever merchandise you would like.
4. Excluded Use:
These terms exclude you from the following usage:
- Duplicating and Reselling your Street Ape Yolo Club NFT as a Newly Minted NFTs without 80% or more modifications to the original art.
- Using your Street Ape Yolo Club Traits as elements on Newly Minted NFTs without 80% or more modifications to the original art.
5. Linking Your Cryptocurrency Wallet
When you link your cryptocurrency wallet, you understand and agree that you are solely responsible for maintaining the security of your wallet and your control over any wallet-related authentication credentials, private or public cryptocurrency keys, non-fungible tokens or cryptocurrencies that are stored in or are accessible through your wallet. Any unauthorized access to your cryptocurrency wallet by third parties could result in the loss or theft of NFTs and/or funds held in your wallet and any associated wallets, including any linked financial information such as bank account(s) or credit card(s). We are not responsible for managing and maintaining the security of your cryptocurrency wallet nor for any unauthorized access to or use of your cryptocurrency wallet. If you notice any unauthorized or suspicious activity in your cryptocurrency wallet that seems to be related to this Site, please notify us immediately.
6. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Stree Ape Yolo Club, and our respective past, present and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (individually and collectively, the “Vee Friends Parties”), from and against all actual or alleged third party claims, damages, awards, judgments, losses, liabilities, obligations, penalties, interest, fees, expenses (including, without limitation, attorneys’ fees and expenses) and costs (including, without limitation, court costs, costs of settlement and costs of pursuing indemnification and insurance), of every kind and nature whatsoever, whether known or unknown, foreseen or unforeseen, matured or unmatured, or suspected or unsuspected, in law or equity, whether in tort, contract or otherwise (collectively, “Claims”), including, but not limited to, damages to property or personal injury, that are caused by, arise out of or are related to (a) your use or misuse of the Site, Site Content, or NFTs, (c) your violation of these Terms, (c) your violation of the rights of a third party, including another user and (e) your failure to pay any Taxes or Sales Taxes in connection with your transactions on this Site or to provide us with a properly executed tax form described in Section 8. You agree to promptly notify us of any third party Claims and cooperate with the Street Ape Yolo Club Parties in defending such Claims. You further agree that the Street Ape Yolo Club Parties shall have control of the defense or settlement of any third party Claims. THIS INDEMNITY IS IN ADDITION TO, AND NOT IN LIEU OF, ANY OTHER INDEMNITIES SET FORTH IN A WRITTEN AGREEMENT BETWEEN YOU AND US.
7. Definitions
The following capitalized terms will have the following meanings:
“Art” means any art, design, and drawings that may be associated with a Street Ape Yolo Club NFT that you Own.
“Own” means, with respect to a Street Ape Yolo Club, a Street Ape Yolo Club that you have purchased or otherwise rightfully acquired from a legitimate source, where proof of such purchase is recorded on the relevant blockchain.
“Purchased Street Ape Yolo Club” means a Street Ape Yolo Club that you Own.
"Trait Asset" means the Art associated with each graphic trait. This includes any trait listed in our traits assets as defined in our code.
8. Street Ape Yolo Club retains the ownership of the Street Ape Yolo Club Name and Logo.
As well as rights to use, modify, and distribute all minted NFTs for use of marketing and promotional purposes. Street Ape Yolo Club retains ownership and rights to distribute, copy, and modify Street Ape Yolo Club Trait Asset Art, commercially and as NFTs.
9. Street Ape Yolo Club Are Not Intended as Investments
Street Ape Yolo Club are meant to be a fun Non-Fungible Token for you to collect. They are not meant as investment vehicles. We make absolutely no promise or guarantee that these NFTs will be worth anything more than what you and the market deem the art to be worth. This could very well be zero. You understand that they have no inherent monetary value, and they should be treated as nothing more than a collectible with potential future value or lack thereof.
10. Taxes
You are entirely responsible for any tax liability which may arise from minting or reselling your Street Ape Yolo Club.
11. Children
The Street Ape Yolo Club project is not targeted towards children. You agree that you are over the age of 18 (18 or over), or above the legal age of your jurisdiction, whichever is greater.
12. These terms are subject to change.
These Terms may be discretionarily modified or replaced at any time, unless stated otherwise herein. The most current version of this Agreement will be posted on the Website with the “Last Revised” date at the top of the Agreement changed. Any changes or modifications will be effective immediately upon posting the revisions to the Site. You shall be responsible for reviewing and becoming familiar with any such modifications. You waive any right you may have to receive specific notice of such changes or modifications. Use of the Platform by you after any modification to the Agreement constitutes your acceptance of the Agreement as modified. If you do not agree to the Agreement in effect when you access or use the Platform, we may, at any time and without liability or prior notice, modify or discontinue all or part of the Platform (including access to the Platform via any third-party links).
13. Entire Agreement
These Terms comprise the entire agreement between you and us relating to your access to and use of the Site, Site Content and any NFTs you have purchased, and supersede any and all prior discussions agreements, and understandings of any kind. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third party beneficiary rights upon any other person or entity.
